1. Introduction and Acceptance

1.1 Welcome to Vidhya

These Terms and Conditions (the "Terms", "Agreement", or "T&Cs") constitute a legally binding agreement between you ("you", "your", or "User") and [Super Apply LLC], a company organized under the laws of [Delaware, United States], (collectively, "Vidhya", "we", "us", or "our"), governing your access to and use of the Vidhya platform, including the website located at [govidhya.com or applicable domain], any subdomains, mobile applications, AI services, application-tracking tools, email-drafting tools, scholarship databases, and any associated content, features, or functionality (collectively, the "Service" or "Platform").

1.2 Binding Effect

By accessing, registering for, browsing, or using the Service in any manner — including by clicking "I Agree," "Sign Up," "Get Started," or any similar acceptance mechanism, or by continuing to use the Service after these Terms are posted — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies referenced herein or made available through the Service (collectively, the "Vidhya Policies").

1.3 If You Do Not Agree

If you do not agree to any portion of these Terms, you must not access, register for, or use the Service. Your sole remedy for dissatisfaction with the Service or these Terms is to stop using the Service and terminate your account in accordance with Section 21.

1.4 Modifications to These Terms

We reserve the right to modify, amend, supplement, or replace these Terms at any time, in our sole discretion. When we make material changes, we will provide notice through one or more of the following means: (a) posting a notice on the Service; (b) sending an email to the address associated with your account; (c) displaying an in-app notification; or (d) updating the "Last Updated" date at the top of these Terms. Material changes become effective no earlier than thirty (30) days after notice is provided, unless the change relates to: (i) new features (which become effective immediately upon launch), (ii) legal or regulatory compliance (which may become effective immediately), or (iii) terms that operate in your favor. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not accept the modifications, your sole remedy is to terminate your account before the modifications take effect.


2. Definitions

For purposes of these Terms, the following capitalized terms have the meanings set forth below. Other capitalized terms are defined where they first appear.

  • "Account" means the user account registered with Vidhya, secured by login credentials.
  • "AI Output" means any text, recommendation, summary, draft, list, ranking, score, prediction, or other content generated by Vidhya's artificial intelligence systems, machine learning models, large language models, or automated agents in response to your inputs, prompts, or activity.
  • "Authorized Adult" means a parent, legal guardian, or other adult lawfully entitled to consent on behalf of a Minor.
  • "Beta Feature" means any feature, integration, product, or service labeled as "beta," "preview," "early access," "coming soon," or similar designations, including (without limitation) the Relocation Planner, Mock Visa Interview, IELTS Coach, and forthcoming mobile applications.
  • "Content" means all information, text, images, data, files, documents, drafts, communications, application materials, profiles, photographs, audio, video, code, and other material in any form.
  • "Counselling Session" or "Advisor Session" means a one-to-one consultation between you and an advisor accessed through the Service. Vidhya does not represent that any advisor is a certified, licensed, or accredited professional in any jurisdiction unless explicitly stated in that advisor's profile and verified by the issuing authority.
  • "Educational Institution" means any university, college, school, conservatory, or similar body referenced or featured in the Service.
  • "Gmail Integration" means the optional feature that allows the Service to access, read, draft, and send email on your behalf via Google's APIs, subject to your separate authorization through Google.
  • "Linked Account" means any third-party account (including Google) that you have authorized the Service to access.
  • "Minor" means any User under the age of eighteen (18) years, or such other age of majority as may be applicable in your jurisdiction of residence.
  • "Paid Plan" means any of the Service's subscription plans or one-time-purchase plans that require payment, including (at the time of writing) the Navigator monthly subscription and the Constellation one-year purchase.
  • "Service Output" means all AI Output and all other information, recommendations, listings, drafts, lists, deadlines, scholarship matches, professor contact details, application checklists, and similar outputs delivered via the Service.
  • "User Content" means any Content that you submit, upload, post, paste, transmit, store, generate via prompts, send to advisors, or otherwise make available through the Service.

3. Eligibility, Age Requirements, and Minor Use

3.1 General Eligibility

To register for an Account or use the Paid Plans, you must meet all of the following requirements:

  1. You are at least thirteen (13) years of age (or, if higher, the minimum age for digital-services consent under the laws of your country of residence, including but not limited to age 16 in many EEA member states and age 14 or 16 in certain other jurisdictions);
  2. You are legally capable of entering into a binding agreement under the laws of your jurisdiction (or, if you are a Minor, you meet the conditions in Section 3.3 below);
  3. You have not been previously suspended or removed from the Service;
  4. You are not located in, ordinarily resident in, or a national of, any country subject to comprehensive sanctions administered by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom, or any other applicable sanctions authority, and you are not listed on any restricted-party list;
  5. Your use of the Service is not prohibited by any applicable law, regulation, or court order in your jurisdiction.

3.2 Acknowledgement Regarding Minors

The Service is intentionally designed and marketed for use by high-school and pre-university students, many of whom are Minors. We have implemented safeguards intended to be appropriate for that audience, but the responsibilities, warranties, and consents described below are essential.

3.3 Use by Minors — Parental or Guardian Consent

If you are a Minor:

  1. You must have your parent or legal guardian's permission to create an Account and to use the Service. By using the Service, you represent that such permission has been obtained.
  2. A parent or legal guardian must read these Terms and the Privacy Policy with you and must agree to be jointly responsible with you for compliance with these Terms.
  3. We may, at our sole discretion and at any time, require verifiable parental or guardian consent (including via email confirmation, signed form, credit-card-based verification, or another method permitted under applicable law such as the U.S. Children's Online Privacy Protection Act ("COPPA") for users under thirteen (13) where applicable, or the UK Age-Appropriate Design Code, or EU GDPR Article 8) before permitting some or all features to be used by a Minor.
  4. Paid Plans require a payment method belonging to an Authorized Adult. Minors may not, under any circumstances, purchase a Paid Plan using a payment method they are not legally entitled to use. Any unauthorized use of a parent's, guardian's, or other third party's payment method is the sole responsibility of the User and, where applicable, the Authorized Adult.
  5. By permitting a Minor to use the Service, the Authorized Adult agrees that the Authorized Adult: (a) has reviewed and accepted these Terms on the Minor's behalf and on their own behalf; (b) will supervise the Minor's use of the Service to a reasonable degree; (c) is responsible for any charges incurred by the Minor on the Authorized Adult's payment method; (d) consents to the collection, processing, and use of the Minor's personal data as described in the Privacy Policy; and (e) acknowledges that the Service may transmit email and other communications on the Minor's behalf if the Gmail Integration is enabled.

3.4 Country of Residence

You must accurately represent your country of residence when registering. Certain features, pricing, taxes, regulatory disclosures, and refund rights depend on your country of residence. If you misrepresent your country of residence to access features or pricing not lawfully available to you, you do so at your own risk and may be in breach of these Terms.

3.5 No Professional Status Required by User

You are not required to be enrolled at any specific Educational Institution, hold any specific qualifications, or maintain any specific test scores in order to use the Service. However, certain features may produce more accurate or relevant Service Output if you provide complete and accurate information about your academic profile.


4. Account Registration and Security

4.1 Account Creation

To access certain features, including the Paid Plans, you must register for an Account. You may register by providing the required information directly, or by linking an authorized third-party identity provider (such as Google). When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update such information; and (c) accept responsibility for all activities that occur under your Account.

4.2 Credentials and Security

You are responsible for safeguarding your password, authentication tokens, multi-factor codes, and any other credentials. You agree to: (a) never share your credentials with any third party; (b) use a strong, unique password; (c) immediately notify us at [security@vidhya.app or applicable address] of any unauthorized access, suspected breach, or loss of credentials; and (d) ensure that you log out from your Account at the end of each session, particularly on shared devices.

4.3 One Account Per Person

Each User may maintain only one (1) Account unless otherwise expressly permitted by us in writing. You may not register an Account using false information, an alias intended to deceive, another person's identity, or automated means.

4.4 Account Activity

You are responsible for all activity conducted through your Account, whether by you or by any other party using your credentials (with or without your authorization), unless and until you notify us of the compromise. We are not liable for any loss arising from your failure to comply with this Section 4.

4.5 Inactivity

We reserve the right to deactivate, archive, or delete Accounts that have been inactive for an extended period (currently defined as no login activity for eighteen (18) consecutive months), subject to applicable law and any active Paid Plan obligations. We will provide reasonable advance notice before doing so.


5. Description of the Service

5.1 What Vidhya Provides

Vidhya is a software platform that provides students with informational, organizational, and AI-powered tools related to the process of researching, applying to, and preparing for study at Educational Institutions abroad. The Service currently includes, without limitation:

  1. AI Advisor — A conversational AI tool that responds to your prompts and may attempt to browse publicly available web pages to retrieve information about Educational Institutions, programs, deadlines, faculty, and similar topics.
  2. Application Board — A Kanban-style tool for tracking applications to Educational Institutions across user-defined stages.
  3. Gmail Integration — An optional integration that, with your separate authorization through Google, can read context from your Gmail inbox and draft outbound emails for your review and sending.
  4. Scholarship Finder — A searchable index of scholarships and funding programs that may be relevant to your profile, sourced from publicly available information and partner data.
  5. Advisor Sessions — Optional one-to-one consultation sessions with advisors accessed through the Service.
  6. Beta Features — Forthcoming features that may be released in beta form, including but not limited to the Relocation Planner, Mock Visa Interview tool, IELTS Coach, and mobile applications.

5.2 Informational Nature of the Service

The Service is an informational and organizational tool. It is not, and must not be relied upon as, a substitute for:

  • Professional educational counseling;
  • Legal advice (including immigration, visa, contract, or tax advice);
  • Financial advice;
  • Medical advice;
  • Admissions decisions, advice, or assistance from the Educational Institutions themselves;
  • Government services or official guidance from any immigration authority;
  • Standardized test preparation provided by accredited test administrators.

5.3 No Guarantee of Outcomes

We make no representation, warranty, or guarantee of any kind that use of the Service will result in: (a) admission to any Educational Institution; (b) award of any scholarship or financial aid; (c) issuance of any visa or immigration document; (d) achievement of any test score; (e) reply or favorable response from any professor, admissions officer, or institution; (f) success in any application or relocation process; or (g) any specific academic, professional, or personal outcome.

5.4 Changes to the Service

We may, in our sole discretion and at any time, modify, suspend, discontinue, or replace any portion of the Service, including individual features, Educational Institution coverage, country coverage, AI models, third-party integrations, or pricing tiers. We will use reasonable efforts to provide notice of material discontinuations affecting Paid Plan users. Where applicable, prorated refunds or service credits may be offered as described in Section 7.

5.5 Geographic Coverage and Localization

The Service's coverage of Educational Institutions, scholarships, visa pathways, and other localized information is currently focused on the United Kingdom, United States, Canada, and Australia. Coverage of other destinations may be partial, experimental, or unavailable. Information localized to any specific country may not be applicable to other countries.


6. Subscription Plans, Pricing, and Payment

6.1 Plans Offered

At the time these Terms were last updated, Vidhya offers the following plans (subject to change):

  1. Explorer (Free). A free plan providing limited access to features, including the Application Board, restricted AI Advisor usage, Scholarship search, and destination guides. No payment is required.
  2. Navigator. A recurring monthly subscription plan priced in United States Dollars (USD) at the rate displayed on our pricing page at the time of purchase, granting expanded or unlimited use of AI features, Gmail Integration, and other premium capabilities.
  3. Constellation. A one-time purchase plan priced in USD at the rate displayed on our pricing page at the time of purchase, granting access to all Navigator features plus additional capabilities for a defined access period (currently one (1) year from date of purchase).

Plan features, limits, and pricing are described on our pricing page and may change with notice as set forth in Section 6.5.

6.2 Pricing and Currency

All prices are quoted in United States Dollars (USD) unless otherwise expressly stated. If your bank, card issuer, or payment provider charges in a different currency, your final charge may differ slightly from the USD list price due to currency-conversion rates and fees set by your payment provider. Vidhya is not responsible for currency-conversion differences, foreign-transaction fees, intermediary-bank fees, or similar charges imposed by your payment provider.

6.3 Taxes

Prices displayed on the Service may be exclusive of, or inclusive of, applicable taxes depending on your jurisdiction and our tax-collection obligations. You are responsible for all sales, use, value-added (VAT), goods and services (GST), withholding, digital-services, and similar taxes applicable to your purchase, unless we are required by law to collect such taxes from you, in which case we will add them to your invoice. You are responsible for providing accurate billing information needed to determine tax liability.

6.4 Authorization to Charge

By purchasing a Paid Plan, you:

  1. Authorize us, and our third-party payment processors (currently including but not limited to [Stripe, PayPal, and/or other processors]), to charge the payment method you provide for all amounts due, including the subscription fee, any applicable taxes, and any other charges incurred in connection with your use of the Service;
  2. Represent that you are legally authorized to use the payment method (or, if you are a Minor, that the Authorized Adult who owns the payment method has authorized its use);
  3. Agree that we may store your payment-method details with our payment processors for purposes of recurring billing, refunds, and fraud prevention, in accordance with the Privacy Policy.

6.5 Auto-Renewal of Navigator Subscriptions

The Navigator subscription automatically renews at the end of each billing period (monthly, or such other period as you select) at the then-current price, unless you cancel before the end of the current billing period. By subscribing, you expressly consent to such auto-renewal and to being charged on a recurring basis.

You may cancel auto-renewal at any time through your Account settings or by contacting [support@vidhya.app]. Cancellation will be effective at the end of the then-current billing period; your subscription will remain active until that date, after which it will not renew. We are not obligated to refund any portion of fees already paid except as required by law or as described in Section 7.

We will provide reasonable advance notice of any price changes to your subscription. Price changes will take effect at the next renewal following the notice period, and you may cancel before the new price takes effect.

6.6 Constellation One-Time Purchase

The Constellation plan is a one-time purchase that grants access for the duration stated at the time of purchase (currently one (1) year). The Constellation plan does not automatically renew. At the end of the access period, your account will revert to the Explorer plan unless you purchase another Paid Plan.

6.7 Failed Payments

If a payment cannot be processed (due to insufficient funds, expired card, declined transaction, or otherwise), we may: (a) attempt to charge the payment method again; (b) restrict your access to Paid Plan features until payment is received; (c) downgrade your Account to the Explorer plan; or (d) terminate your Account in accordance with Section 21. You are responsible for keeping your payment method current and for any reasonable collection costs (including attorneys' fees where permitted) that we incur in collecting overdue amounts.

6.8 Promotions, Discounts, and Trials

We may offer promotions, discounts, free trials, referral credits, or similar incentives, subject to additional terms specific to each offer. Such terms (including any eligibility requirements, redemption windows, and value caps) are incorporated by reference into these Terms when you redeem or accept the offer. Promotions cannot be combined unless expressly permitted. We reserve the right to modify or terminate promotions at any time.

6.9 No Resale

You may not resell, sublicense, rent, lease, share access to, or otherwise transfer your Account or Paid Plan to any third party.


7. Refunds, Cancellation, and Statutory Rights

7.1 Cancellation by You

You may cancel a Navigator subscription at any time via your Account settings. Upon cancellation:

  1. Your subscription will remain active until the end of the then-current billing period;
  2. You will not be charged for any subsequent billing period;
  3. Except as required by mandatory consumer-protection law, fees already paid are non-refundable.

7.2 Refund Policy

Unless otherwise required by applicable law:

  1. Navigator (monthly subscription): Fees paid are non-refundable, including for partial-month usage. You retain access until the end of the paid period.
  2. Constellation (one-time purchase): Refundable within fourteen (14) days of purchase, provided you have not made substantial use of the Service (as determined in our reasonable discretion based on AI Advisor usage, advisor sessions consumed, or other meaningful engagement). After this window, the purchase is non-refundable.
  3. Advisor Sessions: Refundable if cancelled at least twenty-four (24) hours before the scheduled session. Cancellations within 24 hours or no-shows are non-refundable.

7.3 Statutory Cancellation Rights (Cooling-Off Periods)

If you are a consumer resident in the European Economic Area, United Kingdom, or another jurisdiction that grants statutory withdrawal rights for distance contracts, you may have the right to withdraw from a Paid Plan within fourteen (14) days of purchase without giving any reason. However, by purchasing a Paid Plan and beginning to use the digital content or services immediately, you expressly consent to immediate performance and acknowledge that, to the extent permitted by applicable law, you lose your right of withdrawal once performance has begun. This consent is signified by your acceptance of these Terms at checkout. Where the right of withdrawal applies and has not been waived, you may exercise it by contacting [refunds@vidhya.app] with your name, order reference, and a statement of intent to withdraw.

7.4 Refunds on Termination by Vidhya

If we terminate your Account or Paid Plan without cause, we will refund any prepaid fees for the unused portion of your Paid Plan on a pro-rata basis. If we terminate your Account or Paid Plan for cause (including for any breach of these Terms, fraud, abuse, or violation of the Acceptable Use Policy), you are not entitled to any refund and you remain liable for all amounts due.

7.5 Chargebacks

Before initiating a chargeback with your card issuer, you agree to contact us at [support@vidhya.app] to attempt to resolve the issue in good faith. Initiating a chargeback without first attempting to resolve the issue may result in suspension or termination of your Account.


8. AI Services, Output, and Limitations

8.1 Nature of AI Output

The Service uses artificial intelligence, including large language models and other automated systems, to generate responses, recommendations, summaries, drafts, lists, scores, and other Service Output. AI Output is generated probabilistically based on patterns in training data and on inputs you and others provide. You expressly acknowledge and agree that:

  1. AI Output may be inaccurate, incomplete, outdated, biased, misleading, or false. AI systems can "hallucinate" — that is, produce content that sounds authoritative but is factually wrong, including but not limited to fabricated university names, fabricated programs, fabricated faculty members, fabricated deadlines, fabricated requirements, fabricated email addresses, and fabricated citations.
  2. AI Output is not advice. It does not constitute professional educational counseling, legal advice, immigration advice, visa advice, financial advice, tax advice, medical advice, psychological advice, or any other form of professional advice, and must not be relied upon as such.
  3. AI Output may not reflect current information. Even when the Service is designed to retrieve information from the live web, AI Output may reflect information that has changed, been removed, or never existed in the form retrieved.
  4. AI Output is non-deterministic. Identical or similar prompts may produce different outputs at different times.
  5. You are responsible for verifying AI Output. You must independently verify all critical information — including but not limited to admission requirements, deadlines, eligibility criteria, scholarship details, professor identities and contact information, visa rules, and any factual claim that bears on a decision you intend to make — by consulting the primary source (e.g., the Educational Institution's official website or admissions office, the relevant government immigration authority, a qualified professional, etc.) before acting on it.

8.2 Live Web Browsing

Where the Service performs live web browsing to retrieve information, you acknowledge that:

  1. Source websites may be unavailable, may have changed structure, may rate-limit or block automated requests, or may contain errors;
  2. Retrieved content may be inaccurate or outdated even when freshly fetched, because source websites may themselves contain stale information;
  3. The Service's interpretation of retrieved content is performed by AI and is subject to the same limitations described in Section 8.1.

8.3 AI Training and Inputs

Subject to the Privacy Policy and any user-controllable settings, you acknowledge that information you provide may be used: (a) to deliver the Service to you (e.g., generating personalized to-dos and recommendations); (b) on a de-identified or aggregated basis, for analytics, abuse prevention, and Service improvement; and (c) in accordance with any explicit consent you provide.

By default, we will not use the content of your private chats, personal essays, application drafts, or email drafts to train publicly available models without your separate, affirmative consent, except for de-identified, aggregated, or anonymized data as permitted by applicable law. Specific data-use rules are described in the Privacy Policy.

8.4 Third-Party AI Providers

The Service may incorporate AI capabilities provided by third parties (including but not limited to [OpenAI, Anthropic, Google, and/or other AI providers]). Your use of those AI capabilities through the Service is subject to those providers' applicable usage policies, which may prohibit certain types of content or use cases. We are not responsible for changes to third-party AI providers' policies, capabilities, pricing, or availability.

8.5 No Reliance for High-Stakes Decisions

You agree not to rely solely on AI Output for any high-stakes decision, including but not limited to: (a) submitting an application; (b) declining or accepting an offer; (c) signing any contract; (d) making any payment to an Educational Institution or third party; (e) traveling internationally; (f) applying for or accepting a visa; (g) representing your qualifications to any institution or authority; or (h) any other decision with significant financial, academic, immigration, or personal consequences. You must verify all such decisions independently.


9. Gmail Integration and Third-Party Services

9.1 Optional Integration

The Gmail Integration is an optional feature that you may enable at your discretion. To enable it, you must separately authorize Vidhya to access your Google account via Google's OAuth authorization flow. You may revoke this authorization at any time, either through your Vidhya Account settings or via your Google account security settings.

9.2 Limited Use; Compliance with Google API Services User Data Policy

Vidhya's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  1. We use Google user data only to provide or improve user-facing features that are prominent in the Service's user interface (e.g., reading recent emails to provide context for drafts; sending drafts you have approved).
  2. We do not transfer Google user data to third parties except: (a) as necessary to provide or improve user-facing features (e.g., AI providers processing email-draft content as described in Section 8.4); (b) for security purposes (e.g., investigating abuse); (c) to comply with applicable law; or (d) as part of a merger, acquisition, or sale of assets with notice to you.
  3. We do not use Google user data for serving advertisements.
  4. We do not allow humans to read Google user data unless (a) we have obtained your affirmative consent to specific messages, (b) it is necessary for security purposes such as investigating abuse, (c) it is necessary to comply with applicable law, or (d) it is for internal operations where the data has been aggregated and anonymized.
  5. We do not use Google user data to develop, improve, or train generalized or non-personalized AI models or machine learning models.

9.3 Emails Sent on Your Behalf

When you use Vidhya to draft and send email:

  1. You are the sender of all email transmitted through your Account and your authorized Google account. The Service operates as a drafting and transmission tool acting under your authority; it does not send email of its own accord without your initiation.
  2. You must review every draft before sending. AI-generated drafts may contain factual errors, fabricated references to publications or research, misattributed quotes, misspelled recipient names, incorrect email addresses, or culturally or contextually inappropriate phrasing.
  3. You are responsible for compliance with all applicable laws governing electronic communications, including but not limited to the U.S. CAN-SPAM Act, the EU ePrivacy Directive, the UK Privacy and Electronic Communications Regulations (PECR), Canada's Anti-Spam Legislation (CASL), the Australian Spam Act 2003, and similar laws. This includes obligations not to send unsolicited bulk email, to honor opt-outs, to provide accurate sender identification, and not to harvest email addresses unlawfully.
  4. Professor and faculty outreach must be respectful, individualized, accurate, and consistent with academic norms. Sending high-volume identical or near-identical cold emails using the Service is prohibited and may result in Account suspension.
  5. Misrepresentation is prohibited. You may not draft or send emails that impersonate any other person, misstate your academic credentials, claim affiliations you do not have, or otherwise deceive recipients.

9.4 Other Third-Party Services

The Service may link to, integrate with, or reference third-party websites, services, applications, products, or content (collectively, "Third-Party Services"), including Educational Institution websites, government immigration websites, payment processors, and ranking publishers. We do not control Third-Party Services and are not responsible for their content, accuracy, availability, terms, or privacy practices. Your use of any Third-Party Service is at your own risk and subject to that service's terms.


10. University Application, Visa, and Scholarship Disclaimers

10.1 University Application Information

The Service provides information about Educational Institutions, including admission requirements, deadlines, programs, rankings, faculty, and similar information. This information is provided for general informational purposes only and may be incomplete, outdated, or inaccurate. Educational Institutions change their admission policies, requirements, deadlines, and personnel frequently and without notice to us. You must verify all such information directly with the Educational Institution before submitting any application or making any decision based on it.

10.2 No Affiliation with Educational Institutions

Unless expressly stated, Vidhya is not affiliated with, endorsed by, sponsored by, or operated in partnership with any Educational Institution mentioned in the Service. References to institutions, programs, and faculty are nominative and for informational purposes only. Trademarks and logos of Educational Institutions remain the property of their respective owners.

10.3 No Admissions Guarantee

We do not guarantee admission to any Educational Institution. Admissions decisions are made solely by the Educational Institutions themselves based on criteria they determine.

The Service may provide general information about visa, immigration, study-permit, and relocation processes for certain countries. This information is not legal advice and is not a substitute for the services of a qualified immigration attorney or accredited migration agent. Immigration rules change frequently. You must independently verify all visa-related information with the relevant government authority (e.g., U.S. Department of State, UK Home Office, Immigration, Refugees and Citizenship Canada, Australian Department of Home Affairs) or with a qualified immigration professional in your jurisdiction before acting on it. We disclaim all liability for any visa denial, delay, or adverse immigration consequence arising from your use of the Service.

10.5 Scholarship Information

The Service includes information about scholarships, grants, fellowships, and other funding opportunities. This information may be incomplete, outdated, or inaccurate. Eligibility criteria, deadlines, award amounts, and selection processes change frequently. You must verify all scholarship information directly with the awarding organization. We do not select, award, fund, or administer any scholarship listed in the Service unless expressly stated otherwise. Listing of a scholarship is not an endorsement of that scholarship or of the awarding organization. We disclaim all liability for any scholarship denial, fraud, or misrepresentation by any third-party awarding organization.

10.6 Test Preparation

To the extent the Service includes or references standardized test preparation (including any IELTS Coach Beta Feature), such tools are not affiliated with or endorsed by IELTS, TOEFL, SAT, ACT, GRE, GMAT, or any other testing organization. Practice scores generated by the Service are estimates only and do not predict your actual official test score.


11. Advisor Sessions

11.1 Nature of Advisor Sessions

Where the Service offers Advisor Sessions, those sessions are provided either by Vidhya personnel or by third-party advisors engaged or contracted through the Service. Vidhya does not represent that any advisor is a certified, licensed, accredited, or regulated professional in any jurisdiction unless that advisor's profile expressly states the specific credential and we have verified it. Even where credentials are stated, you should perform your own due diligence before relying on any advisor's guidance.

11.2 Informational Only

Advisor Sessions are intended to provide general informational guidance and are not a substitute for: (a) legal advice from a licensed attorney; (b) immigration advice from a licensed or accredited immigration practitioner; (c) financial advice from a licensed financial advisor; (d) psychological counseling; or (e) admissions decisions or guidance from the relevant Educational Institution.

11.3 Booking, Cancellation, and Conduct

Sessions must be booked, attended, cancelled, and rescheduled in accordance with the specific terms displayed at the time of booking. You agree to: (a) attend sessions on time; (b) treat the advisor with respect; (c) not record any session without the advisor's express written consent; (d) not redistribute any session content; and (e) provide accurate information so the advisor can be helpful.

11.4 Confidentiality

We will use commercially reasonable efforts to keep Advisor Session content confidential, subject to the Privacy Policy. However, Advisor Sessions do not create any attorney-client, doctor-patient, fiduciary, or other privileged relationship, and communications during sessions are not protected by any such privilege.


12. User Content

12.1 Your Content

You retain ownership of all User Content you submit to the Service, subject to the license you grant below.

12.2 License to Vidhya

To enable us to operate the Service, you grant Vidhya a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, perform, modify (e.g., to format for display, generate AI responses, or create backups), and otherwise use your User Content for the limited purposes of: (a) providing the Service to you; (b) improving the Service in accordance with the Privacy Policy and Section 8.3; (c) enforcing these Terms; and (d) complying with applicable law. This license terminates when you delete the User Content or your Account, except to the extent: (i) we are required to retain it by law; (ii) it has been shared with other Users (e.g., in a community feature, if any); (iii) it has been incorporated into de-identified or aggregated analytics; or (iv) reasonable backup retention windows.

12.3 Your Warranties Regarding User Content

You represent and warrant that:

  1. You own your User Content or have all necessary rights to submit it;
  2. Your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;
  3. Your User Content does not contain any malware, viruses, or harmful code;
  4. Your User Content does not contain any unlawful, defamatory, harassing, hateful, sexually explicit, violent, or otherwise objectionable material as prohibited under Section 13;
  5. Your User Content is accurate to the best of your knowledge;
  6. If your User Content includes personal data of any third party (e.g., a teacher's email address, a parent's contact details, a recommender's name), you have the necessary legal basis to share that data with us for the purposes for which you are sharing it.

12.4 Application Materials

If you upload or generate application materials (statements of purpose, personal statements, essays, CVs, transcripts, recommendations, etc.) through the Service, you are solely responsible for the originality, truthfulness, and integrity of those materials. Submission of plagiarized, falsified, or AI-generated material to Educational Institutions in violation of those institutions' policies is your sole responsibility, and we disclaim all liability for consequences of such submissions, including but not limited to application rejection, admission rescission, expulsion, visa cancellation, and academic-misconduct findings.

12.5 Take-Down

If you believe User Content on the Service infringes your rights, please contact us at [legal@vidhya.app] with the information described in the Copyright/IP Policy (or any DMCA-equivalent notice address). We will respond to valid notices in accordance with applicable law.


13. Acceptable Use Policy

You agree that you will not, and will not authorize, encourage, or enable any third party to:

13.1 Misuse the Service

  1. Use the Service in violation of any applicable law, regulation, court order, or industry code;
  2. Use the Service to engage in fraud, identity theft, impersonation, or misrepresentation;
  3. Submit false information to any Educational Institution, scholarship provider, government authority, or other third party through or with the assistance of the Service;
  4. Use the Service to engage in academic dishonesty, including but not limited to submitting AI-generated material to an Educational Institution in violation of its policies;
  5. Pay, accept payment, or otherwise transact for the purpose of having a third party take a standardized test (IELTS, TOEFL, SAT, ACT, GRE, GMAT, etc.) on your behalf, or to fabricate test scores.

13.2 Abuse the Email Functionality

  1. Send unsolicited bulk email (spam);
  2. Harvest email addresses for purposes other than legitimate, individualized academic outreach;
  3. Impersonate any person or entity in any email;
  4. Send threatening, harassing, defamatory, or otherwise unlawful communications;
  5. Send commercial solicitations.

13.3 Attack or Probe the Service

  1. Attempt to gain unauthorized access to any part of the Service, other Users' accounts, or our infrastructure;
  2. Use any robot, spider, scraper, crawler, or other automated means to access the Service except as expressly permitted (e.g., search-engine crawlers respecting robots.txt);
  3. Bypass, disable, or interfere with any security feature, rate limit, or access control;
  4. Reverse-engineer, decompile, or attempt to derive source code from the Service except to the extent expressly permitted by applicable law;
  5. Probe, scan, or test the vulnerability of the Service except through a coordinated disclosure process we have authorized in writing;
  6. Introduce viruses, worms, malware, ransomware, or any other harmful code;
  7. Overload, flood, or otherwise interfere with the Service's normal operation;
  8. Use the Service to attack any other system.

13.4 Submit or Generate Prohibited Content

You will not use the Service to create, store, transmit, or generate Content that:

  1. Sexually exploits or abuses children, including any Child Sexual Abuse Material (CSAM);
  2. Sexualizes Minors in any way;
  3. Promotes, incites, or facilitates violence, terrorism, hate speech, or self-harm;
  4. Harasses, bullies, threatens, or intimidates any person;
  5. Discriminates against any person on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, gender identity, age, disability, or any other protected characteristic;
  6. Infringes any third party's intellectual property or privacy rights;
  7. Constitutes unauthorized disclosure of personal data;
  8. Promotes illegal goods or services;
  9. Contains medical, legal, financial, or psychological advice represented as professional advice when it is not.

13.5 Misuse AI Features

  1. Use the AI Advisor to generate content prohibited under Section 13.4;
  2. Use AI Output to deceive any Educational Institution, scholarship provider, or government authority;
  3. Use the Service to develop, train, or evaluate a competing AI or service;
  4. Submit prompts designed to extract our system prompts, model weights, training data, or other proprietary information;
  5. Use the Service to circumvent any AI provider's usage policies.

13.6 Commercial Misuse

  1. Use the Service to provide services to third parties as a counselor, consultant, or admissions agent unless you have a separate written agreement with us authorizing such use;
  2. Resell, sublicense, or commercially exploit access to the Service.

13.7 Enforcement

We may, but are not obligated to, monitor, review, or remove Content; investigate suspected violations; suspend or terminate Accounts; report violations to law enforcement; and take any other action we deem appropriate, in our sole discretion. We may do so with or without notice, depending on the nature and severity of the violation.


14. Intellectual Property Rights

14.1 Our IP

The Service, including all software, code, user interfaces, designs (including but not limited to the Vidhya constellation mark and wordmark), logos, branding, color systems, typography, illustrations, animations, content authored by us, AI prompts, AI scaffolding, structured outputs we generate that do not contain User Content, databases (including the Scholarship database structure and curation), documentation, and all related intellectual property, are owned by Vidhya or its licensors and are protected by copyright, trademark, trade-secret, patent, and other intellectual-property laws. All rights not expressly granted to you in these Terms are reserved.

14.2 Limited License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use related to your own educational planning. You may not use the Service or its outputs to build any competing product or service, or to provide services to third parties for compensation, except as expressly permitted by us in writing.

14.3 Outputs You Receive

Subject to applicable law and any third-party rights, you may use AI Output and other Service Output that you generate from your own inputs for your own personal educational purposes, including for your own applications. You may not, however: (a) claim that AI-generated work product is your own original authorship if doing so would violate the policies of the Educational Institution or other recipient; (b) redistribute Service Output as a stand-alone product or service; (c) use Service Output to train competing AI models; or (d) commercialize Service Output without our prior written consent.

14.4 Trademarks

"Vidhya," the Vidhya wordmark, the Vidhya constellation mark, and related logos and tag-lines (including "Navigate by knowing") are trademarks of Vidhya. You may not use these marks without our prior written consent, except for nominative fair use (e.g., to truthfully refer to the Service). Other trademarks referenced in the Service are the property of their respective owners.

14.5 Feedback

If you submit feedback, suggestions, bug reports, feature requests, or other comments about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback for any purpose, without compensation or attribution. You waive any moral rights in Feedback to the extent permitted by applicable law.

14.6 Copyright Infringement Notices

If you believe your copyrighted work has been used on the Service in a way that constitutes infringement, please send a notice to our designated agent at [copyright@vidhya.app] containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Service; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are the rights-holder or authorized to act on their behalf.


15. Privacy and Data Protection

15.1 Privacy Policy

Our collection, use, storage, and sharing of personal data is governed by our Privacy Policy, available at [vidhya.app/privacy], which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

15.2 International Data Transfers

The Service is operated from, and your data may be stored in or transferred to, jurisdictions other than your country of residence. By using the Service, you consent to such transfers, subject to safeguards described in the Privacy Policy.

15.3 Data Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, restrict, or port your personal data, or to object to certain processing. The Privacy Policy describes how to exercise these rights.

15.4 Data Security

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect personal data. However, no system is perfectly secure, and we cannot guarantee absolute security. You use the Service at your own risk in this respect.

15.5 Data Retention

Personal data is retained for the periods and purposes described in the Privacy Policy. Some data may be retained after Account termination as required by law or for legitimate business purposes (e.g., tax records, fraud prevention).


16. Beta Features

16.1 Identification

Beta Features may be identified by labels including "beta," "preview," "early access," "experimental," "coming soon," or similar designations. At the time these Terms were last updated, Beta Features include the Relocation Planner, Mock Visa Interview, IELTS Coach, and forthcoming mobile applications.

16.2 "As-Is" Status

Beta Features are provided on a strict "AS-IS" and "AS-AVAILABLE" basis. They may contain bugs, errors, or incomplete functionality; may be modified, suspended, or discontinued at any time without notice; may produce unreliable results; and may be subject to additional terms specific to the Beta Feature. You assume all risk arising from your use of Beta Features.

16.3 Feedback on Beta Features

By using Beta Features, you agree to provide reasonable feedback if requested, subject to the license described in Section 14.5.

16.4 No Reliance

Beta Features are not intended for production or high-stakes use. Do not rely on a Beta Feature for any decision with material academic, legal, financial, or immigration consequences.


17. Communications and Notices

17.1 Electronic Communications

By creating an Account, you consent to receive communications from us electronically, including via email, in-app notification, and SMS where you have provided a phone number. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

17.2 Marketing Communications

We may send you marketing communications about new features, promotions, and similar matters. You can opt out of marketing communications at any time via the unsubscribe link or in your Account settings, but you cannot opt out of transactional or service-related communications (e.g., billing receipts, security alerts, important Service changes).

17.3 Notices to You

We will provide notices required by these Terms by one or more of the following means: email to the address on file for your Account; in-app notification; posting on the Service; or by SMS where you have provided a phone number. You are responsible for keeping your contact information current.

17.4 Notices to Us

18. Disclaimer of Warranties

18.1 "As Is" and "As Available"

To the maximum extent permitted by applicable law, the Service, including all Service Output, AI Output, advisor sessions, Beta Features, and all other features, is provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind, express, implied, or statutory.

18.2 Disclaimers

To the maximum extent permitted by applicable law, Vidhya, its affiliates, and its licensors and suppliers expressly disclaim all warranties of any kind, including but not limited to:

  1. Implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing, course of performance, or usage of trade;
  2. Warranties that the Service will be uninterrupted, error-free, secure, or free from harmful components;
  3. Warranties that AI Output, university information, scholarship listings, visa information, professor contact information, deadlines, requirements, or any other Service Output will be accurate, complete, current, or reliable;
  4. Warranties that any defects will be corrected;
  5. Warranties regarding outcomes, including admission to any Educational Institution, award of any scholarship, issuance of any visa, achievement of any test score, or any other result;
  6. Warranties regarding the conduct of any advisor, professor, recipient, Educational Institution, or third party;
  7. Warranties regarding the availability or performance of any third-party integration (including Gmail and Third-Party Services).

18.3 Jurisdictional Limits

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted in your jurisdiction, the foregoing disclaimers apply to the maximum extent permitted by law, and you may have additional statutory rights that cannot be excluded or limited.


19. Limitation of Liability

19.1 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, in no event shall Vidhya, its affiliates, officers, directors, employees, agents, advisors, suppliers, or licensors be liable for any:

  1. Indirect, incidental, special, consequential, exemplary, or punitive damages;
  2. Loss of profits, revenue, business, goodwill, opportunity, data, or use;
  3. Costs of substitute services;
  4. Damages arising from: (a) admissions decisions; (b) visa denials, delays, or revocations; (c) scholarship denials or fraud; (d) test scores; (e) emails sent through the Service; (f) actions or omissions of any advisor, Educational Institution, professor, recipient, or third party; (g) AI Output errors or hallucinations; (h) Beta Feature defects; or (i) any decision you make based on Service Output;

whether based on contract, tort (including negligence), strict liability, statute, or any other legal theory, even if Vidhya has been advised of the possibility of such damages.

19.2 Cap on Direct Damages

To the maximum extent permitted by applicable law, the total aggregate liability of Vidhya and its affiliates arising out of or relating to these Terms and your use of the Service, for any cause whatsoever, shall not exceed the greater of: (a) the total amounts you paid to Vidhya for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty United States Dollars (USD $50.00).

19.3 Essential Basis

You acknowledge that the limitations in this Section 19 are an essential basis of the bargain between you and Vidhya, and that the Service would not be provided to you without these limitations.

19.4 Jurisdictional Limits

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct, where such liability cannot be limited under applicable law; or (d) any other liability that applicable law expressly prohibits us from disclaiming.

19.5 Consumer Rights Notice

If you are a consumer (rather than a business user), your statutory rights under applicable consumer-protection law are not affected by these Terms. In particular, consumers in the EU, EEA, UK, Australia, and certain other jurisdictions may have non-excludable rights including, where applicable, rights to remedies for digital content or services that do not conform to contract. Nothing in this Section 19 limits those rights.


20. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Vidhya, its affiliates, and their respective officers, directors, employees, agents, advisors, suppliers, and licensors from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your access to or use of the Service;
  2. Your User Content, including any emails drafted or sent through the Service;
  3. Your violation of these Terms or any Vidhya Policy;
  4. Your violation of any applicable law, regulation, or third-party right (including intellectual-property rights, privacy rights, and rights of publicity);
  5. Your misrepresentation of your identity, qualifications, or eligibility;
  6. Your submission of plagiarized, falsified, or AI-generated content in violation of any Educational Institution's policies;
  7. Disputes between you and any Educational Institution, professor, advisor, recipient of email, scholarship provider, government authority, or other third party.

If you are a Minor, this indemnification obligation also applies to your Authorized Adult to the extent permitted by law. We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.


21. Suspension and Termination

21.1 Termination by You

You may terminate your Account at any time by following the deletion process in your Account settings or by contacting [support@vidhya.app]. Termination of an Account with an active Paid Plan does not entitle you to a refund except as set forth in Section 7.

21.2 Termination or Suspension by Us

We may suspend or terminate your access to all or part of the Service, with or without notice, in our sole and reasonable discretion, if we determine that:

  1. You have violated these Terms or any Vidhya Policy;
  2. Your use of the Service poses a security or legal risk to us, other Users, or third parties;
  3. Your use of the Service is reasonably likely to cause us liability or reputational harm;
  4. We are required to do so by law or by a regulatory or governmental authority;
  5. Your payment method has failed and you have not corrected the issue after reasonable notice;
  6. We have ceased to provide the Service (in whole or in part) in your jurisdiction or generally;
  7. Your Account has been inactive for an extended period (as described in Section 4.5).

21.3 Effect of Termination

Upon termination, your right to access the Service ends, and we may delete or anonymize your User Content and Account data in accordance with the Privacy Policy and applicable law. You should download any data you wish to retain before termination. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 8, 10, 12, 13, 14, 15, 18, 19, 20, 22, 23, and 24) will survive.


22. Governing Law and Jurisdiction

22.1 Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including non-contractual disputes), shall be governed by and construed in accordance with the laws of [GOVERNING JURISDICTION — e.g., the State of Delaware, USA; or England and Wales; or as applicable], without giving effect to any choice-of-law or conflict-of-law principles that would cause the application of the laws of any other jurisdiction.

22.2 Mandatory Consumer Protections

Notwithstanding Section 22.1, if you are a consumer resident in a jurisdiction with mandatory consumer-protection laws that grant you the benefit of the laws of your country of residence (including but not limited to the EU, EEA, UK, and certain other jurisdictions), nothing in these Terms deprives you of the protection of those mandatory provisions, and you may bring claims in the courts of your country of residence in accordance with applicable law.

22.3 UN Convention

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.


23. Dispute Resolution

23.1 Informal Resolution

Before initiating any formal proceeding, you agree to attempt in good faith to resolve any dispute informally by contacting us at [legal@vidhya.app] with a description of the dispute and your contact information. We will respond within thirty (30) days. Most disputes can be resolved this way.

23.2 Arbitration (Where Permitted)

Where permitted by applicable law, any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by [SPECIFIED ARBITRATION INSTITUTION — e.g., the American Arbitration Association, JAMS, or LCIA] in accordance with that institution's rules, conducted in [SEAT OF ARBITRATION] in the English language by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

23.3 Exceptions to Arbitration

Notwithstanding the above:

  1. Either party may seek injunctive or other equitable relief in court for matters relating to intellectual-property infringement, unauthorized access, or breach of confidentiality;
  2. Either party may bring a claim in small-claims court if the claim qualifies;
  3. Consumers in jurisdictions where pre-dispute arbitration is unenforceable may bring claims in court;
  4. Disputes between us and any Minor may, at the election of the Minor or the Authorized Adult, be brought in the courts of the Minor's country of residence to the extent required by applicable law.

23.4 Class Action Waiver (Where Permitted)

To the maximum extent permitted by applicable law, you and Vidhya agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. Neither party shall participate in a class, collective, consolidated, or representative action against the other. If this class-action waiver is found unenforceable in any jurisdiction, the unenforceable portion shall be severed and the remainder of these Terms shall remain in effect.

23.5 Time Limit

Any claim under these Terms must be brought within one (1) year after the cause of action arises, except where a longer limitation period is required by applicable law and cannot be shortened by contract.


24. International Use, Export Controls, and Sanctions

24.1 Compliance

You agree to comply with all applicable export, re-export, sanctions, and import laws and regulations, including the U.S. Export Administration Regulations, U.S. International Traffic in Arms Regulations, and the sanctions regimes administered by the U.S. Department of the Treasury's Office of Foreign Assets Control, the United Nations Security Council, the European Union, the United Kingdom, and other applicable authorities.

24.2 Restricted Users

You represent and warrant that you: (a) are not located in, ordinarily resident in, or a national of any country subject to comprehensive sanctions; (b) are not listed on any restricted-party list; and (c) will not access or use the Service from any embargoed country or in any manner prohibited by applicable export-control laws.

24.3 Service Availability

We may restrict the availability of the Service, in whole or in part, to any country, region, or person we deem appropriate to comply with our legal obligations or for any other reason at our discretion.


25. Force Majeure

We will not be liable for any failure or delay in performance under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government action, court orders, labor disputes, internet or telecommunications failures, power outages, cyber-attacks, denial-of-service attacks, and failures or interruptions of third-party services (including AI model providers, cloud hosts, and Google APIs).


26. Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations under them, in whole or in part, without our prior written consent. Any attempted assignment in violation of this Section is void. We may assign, transfer, or delegate these Terms or any rights or obligations under them at any time, including in connection with a merger, acquisition, corporate restructuring, or sale of assets, without your consent and without notice (subject to applicable law and the Privacy Policy).


27. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, franchise, or employment relationship between you and us. Neither party has authority to bind the other. You are not authorized to act as our agent or representative.


28. Third-Party Beneficiaries

These Terms do not confer any rights on any person or entity other than you and Vidhya, except that our affiliates, officers, directors, employees, agents, suppliers, and licensors are intended third-party beneficiaries of Sections 14, 18, 19, and 20 and are entitled to enforce those Sections.


29. Severability

32. Headings and Interpretation

Section headings are for convenience only and have no substantive effect. The words "include" and "including" mean "include without limitation" and "including without limitation." Words in the singular include the plural and vice versa. References to laws include their amendments and successor laws.

These Terms are written in English. Any translation we provide is for convenience only; in the event of a conflict between the English version and a translation, the English version controls, except where applicable law requires otherwise.
